PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE AVINITY HEALTH WEBSITE OR ANY OF ITS ASSOCIATED DIGITAL PROPERTIES OR CLINICAL SERVICES. BY ACCESSING OR USING THIS WEBSITE OR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE OUR WEBSITE OR SERVICES.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Avinity Health Clinic, LLC, a limited liability company with its principal place of business at 11000 N. Scottsdale Road, Suite 100, Scottsdale, Arizona 85254 ("Avinity Health," "we," "us," or "our"). These Terms govern your use of the Avinity Health website (avinityhealth.com and any subdomains) and all related clinical and wellness services (collectively, the "Services").
1. Acceptance of Terms
By accessing or using the Services in any manner, including but not limited to visiting or browsing the website, creating an account, scheduling an appointment, or receiving clinical services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users of the Services, including visitors, registered users, and patients.
If you are accessing or using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that business or organization to these Terms, and your agreement to these Terms will be treated as the agreement of that business or organization.
2. Eligibility
The Services are intended solely for individuals who are eighteen (18) years of age or older. By using the Services, you represent and warrant that:
You are at least 18 years of age;
You have the legal capacity to enter into a binding agreement;
You are not prohibited by any applicable law from using the Services; and
All information you provide to Avinity Health is accurate and complete.
Avinity Health does not knowingly provide clinical services or collect personal information from individuals under the age of 18. If we become aware that a minor has provided us with personal information or is using our Services without appropriate authorization, we will take steps to remove such information and restrict access. If you believe a minor has provided us with information or is using our Services, please contact us immediately at info@avinityhealth.com.
3. Description of Services
Avinity Health is a physician-guided longevity, wellness, and medical aesthetics clinic located in Scottsdale, Arizona. Our Services include, but are not limited to:
PlasmaRestore™ Therapeutic Plasma Exchange (TPE) — a physician-developed, individualized plasma exchange protocol overseen by board-certified physicians with specialized expertise in therapeutic apheresis;
Intravenous (IV) therapy, including hydration, immune support, performance recovery, and wellness infusions;
Injectable neurotoxins (Botox, Dysport, Jeuveau, and similar products);
Dermal fillers for facial contouring, structure, and aesthetic balance;
Medical-grade microneedling performed by licensed registered nurses;
Telehealth consultations and virtual care appointments as permitted under applicable Arizona and federal law; and
Additional longevity, wellness, and medical aesthetic services as offered from time to time, including NAD+ therapy, EBOO therapy, hormone optimization, and peptide protocols (collectively, "Clinical Services").
Avinity Health operates as a cash-pay clinic. We do not accept or process health insurance, Medicare, or Medicaid. All Clinical Services are elective and must be paid for in full at or before the time of service unless otherwise agreed upon in writing.
The website (the "Digital Platform") provides informational content, appointment scheduling, patient account management, and access to educational materials. The Digital Platform does not constitute the practice of medicine, and no physician-patient relationship is created solely by accessing the Digital Platform.
4. User Accounts
4.1 Account Registration. To access certain features of the Services, including appointment scheduling and patient records, you may be required to create a user account. You agree to provide accurate, current, and complete information during registration and to update that information to keep it accurate, current, and complete.
4.2 Account Security. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify Avinity Health immediately of any unauthorized use of your account or any other breach of security. Avinity Health will not be liable for any loss or damage arising from your failure to maintain the security of your account.
4.3 One Account Per Person. Each individual may only maintain one user account. You may not transfer your account to any other person or allow any other person to access or use your account.
4.4 Account Termination. Avinity Health reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Services will cease immediately.
5. Telehealth Services
Avinity Health offers telehealth consultations and virtual services in accordance with the Arizona Telehealth Act, Arizona Revised Statutes ("A.R.S.") Section 36-3601 et seq., and applicable federal law. By using our telehealth services, you acknowledge and agree to the following:
5.1 Nature of Telehealth. Telehealth involves the delivery of healthcare services using electronic communications, information technology, or other means. Telehealth consultations may be used for certain clinical evaluations, follow-up appointments, and care coordination. Not all services offered by Avinity Health are appropriate for telehealth delivery.
5.2 No Emergency Services. Telehealth services are not a substitute for emergency medical care. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Avinity Health does not provide emergency medical services.
5.3 Arizona Licensure. All telehealth consultations involving clinical evaluation, assessment, or treatment planning are conducted by or under the supervision of licensed healthcare professionals authorized to practice in the State of Arizona. You acknowledge that the practice of medicine via telehealth is subject to the laws of the state in which the patient is physically located at the time of the consultation.
5.4 Technology Requirements. Telehealth services require a stable internet connection, compatible device, and functioning audio/video capabilities. Avinity Health is not responsible for technical failures beyond its reasonable control that may affect telehealth service delivery.
5.5 Informed Consent. Prior to receiving telehealth services, you will be provided with and asked to sign an informed consent for telehealth, which describes the nature, benefits, risks, and limitations of telehealth care. Your use of telehealth services following such disclosure constitutes your informed consent.
6. Clinical Services and Medical Disclaimer
6.1 Not Medical Advice. The content, materials, and information available through the Digital Platform, including all descriptions of treatments, services, research references, and clinical information, are provided for informational and educational purposes only and do not constitute medical advice, diagnosis, or treatment. You should not rely on any information provided through the Digital Platform as a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider. You acknowledge that any reliance on information obtained through the Digital Platform is at your own risk.
6.2 Individual Results Vary. Clinical outcomes vary based on individual patient characteristics, health history, treatment adherence, and other factors. No guarantee of results is made or implied by Avinity Health with respect to any Clinical Service. References to research, clinical studies, or treatment outcomes are provided for informational purposes and reflect published data that may not apply to every patient.
6.3 Candidacy and Eligibility. Not all patients are appropriate candidates for all Clinical Services offered by Avinity Health. Prior to initiating any Clinical Service, a clinical evaluation, consultation, or medical screening will be performed to assess your eligibility and suitability for treatment. Avinity Health reserves the right to decline to provide any Clinical Service to any individual if, in the clinical judgment of our medical team, that service is not medically appropriate.
6.4 Physician Oversight. Clinical Services at Avinity Health are provided under the oversight of licensed physicians. Specific treatments may be administered by licensed registered nurses (RNs) or other qualified clinical staff under physician supervision. The involvement of physician oversight does not mean that a physician personally performs every treatment.
6.5 Informed Consent for Clinical Services. Prior to receiving any Clinical Service, you will be presented with informed consent documentation describing the nature, purpose, potential benefits, material risks, and alternatives to the proposed treatment. By signing informed consent, you acknowledge that you have had the opportunity to ask questions and receive answers to your satisfaction before proceeding.
6.6 No Physician-Patient Relationship via Digital Platform. No physician-patient relationship is created solely by visiting the Avinity Health website, creating an account, or communicating through the Digital Platform. A physician-patient relationship is established only after a clinical evaluation has been completed and a provider has agreed to provide care.
6.7 Right to Decline or Discontinue Services. Avinity Health reserves the right to decline or discontinue any Clinical Service at its sole discretion based on clinical judgment, safety concerns, incomplete or inaccurate information, or patient non-compliance.
7. Fees, Payment, and Financial Policies
7.1 Cash-Pay Clinic. Avinity Health operates exclusively as a cash-pay clinic and does not accept health insurance, Medicare, Medicaid, or any third-party insurance coverage. Payment is due in full at or before the time of service. By using our Clinical Services, you agree that you are solely responsible for all fees and charges and that payment is a condition of receiving services.
7.2 Pricing. All pricing for Clinical Services is subject to change at any time without prior notice. Current pricing is available upon request and will be communicated to you prior to the initiation of any Clinical Service. Pricing provided at the time of consultation is valid for the duration of the consultation visit unless otherwise specified.
7.3 Prepaid Packages. Avinity Health may offer prepaid treatment packages at discounted rates. Prepaid packages are non-transferable and must be used by the purchasing patient only. Unused prepaid package sessions are subject to the refund and expiration policies communicated at the time of purchase. Avinity Health reserves the right to modify package terms with reasonable advance notice.
7.4 Refunds. Clinical services that have been rendered are non-refundable under any circumstances. Refund eligibility for unused prepaid services, deposits, or other advance payments will be governed by the specific terms communicated at the time of payment. All refund requests must be submitted in writing to info@avinityhealth.com and will be reviewed within fifteen (15) business days.
7.5 Taxes. You are responsible for all applicable state and local taxes, if any, associated with your purchase of Clinical Services or products from Avinity Health.
8. Appointment Scheduling and Cancellation Policy
8.1 Scheduling. Appointments may be scheduled through the Digital Platform, by telephone, or by other means designated by Avinity Health. All appointments are subject to provider availability and confirmation by Avinity Health.
8.2 Cancellations and Rescheduling. We require at least forty-eight (48) hours advance notice for appointment cancellations or rescheduling. Cancellations or rescheduling requests received with less than forty-eight (48) hours notice may result in a cancellation fee as communicated at the time of scheduling or in our separate fee schedule. Avinity Health reserves the right to modify this policy at any time.
8.3 No-Shows. If you fail to appear for a scheduled appointment without prior notice, you may be charged a no-show fee. Repeated no-show occurrences may result in suspension or termination of scheduling privileges. Avinity Health reserves the right to require deposits or prepayment for future appointments following repeated no-shows or late cancellations.
8.4 Clinic Cancellations. Avinity Health reserves the right to cancel, reschedule, or modify appointments due to provider unavailability, equipment issues, weather conditions, public health emergencies, or other circumstances beyond our reasonable control. We will make reasonable efforts to provide advance notice and to reschedule any canceled appointment at your earliest convenience.
9. Patient Responsibilities
As a patient and user of our Services, you agree to:
Provide accurate, complete, and current health history, medication lists, allergy information, and other relevant medical information requested by Avinity Health clinical staff;
Follow all pre-treatment and post-treatment instructions provided by Avinity Health clinical staff;
Disclose all medications, supplements, and treatments you are currently receiving, including from other providers;
Notify Avinity Health promptly of any changes in your health status, contact information, or payment information;
Attend all scheduled follow-up appointments and monitoring sessions as recommended by your care team;
Ask questions and seek clarification before proceeding with any Clinical Service if you do not fully understand the nature, risks, or expected outcomes of the proposed treatment;
Seek emergency medical care from appropriate providers if you experience symptoms that require urgent or emergent medical attention; and
Treat Avinity Health staff, providers, and other patients with courtesy and respect.
You acknowledge that your failure to comply with the responsibilities described in this Section may affect the safety and effectiveness of your care. Failure to comply with these responsibilities may result in refusal of treatment, modification of services, or termination of access to the Services.
10. Cookies, Analytics, and Tracking Technologies
The Digital Platform uses cookies, web beacons, pixel tags, and similar tracking technologies (collectively, "Tracking Technologies") to operate the website, analyze usage patterns, improve our Services, and support marketing and advertising functions. By using the Digital Platform, you consent to our use of Tracking Technologies as described in our Privacy Policy.
10.1 Types of Tracking Technologies. We use essential cookies (required for core website functions), analytics cookies (e.g., Google Analytics) to understand how users interact with the Digital Platform, and advertising or remarketing pixels to support paid search and digital advertising campaigns. We do not use Tracking Technologies to collect Protected Health Information (PHI) without your explicit authorization.
10.2 Managing Cookies. You may manage or disable cookies through your browser settings or by using opt-out tools provided by third-party analytics and advertising providers. Please note that disabling certain cookies may impair the functionality of the Digital Platform. For detailed information about our use of Tracking Technologies, please review our Privacy Policy.
10.3 Do Not Track. Some browsers support a "Do Not Track" (DNT) feature. At this time, the Digital Platform does not respond to DNT signals. We encourage you to review our Privacy Policy for information about the steps you can take to limit tracking.
11. Privacy and Protected Health Information
Avinity Health is committed to protecting the privacy and security of your personal information and health information. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Our collection, use, and disclosure of Protected Health Information (PHI) is governed by our Notice of Privacy Practices (NPP), which is provided to you separately in accordance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and the Health Information Technology for Economic and Clinical Health (HITECH) Act.
By using the Services, you acknowledge that you have received or been offered access to our Privacy Policy and Notice of Privacy Practices. Please review these documents carefully.
12. Intellectual Property
12.1 Ownership. The Digital Platform and all content available through it, including but not limited to text, graphics, logos, images, audio, video, software, clinical protocols, treatment frameworks, and the PlasmaRestore™ brand and protocol name (collectively, "Content"), are the exclusive property of Avinity Health Holdings, Inc. or its licensors and are protected by United States and Arizona copyright, trademark, patent, trade secret, and other intellectual property laws.
12.2 Limited License. Avinity Health grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Platform and its Content solely for your personal, non-commercial use in connection with the Services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or exploit any Content without the prior written consent of Avinity Health Holdings, Inc..
12.3 Trademarks. "Avinity Health," "PlasmaRestore," and all associated logos, taglines, and service marks are trademarks or service marks of Avinity Health Holdings, Inc.. You may not use any such trademark without prior written permission from Avinity Health Holdings, Inc.. Nothing in these Terms grants you any right or license to use any of the foregoing trademarks.
12.4 User-Submitted Content. If you submit, post, or transmit any feedback, testimonials, photos, reviews, or other content to Avinity Health ("User Content"), you grant Avinity Health Holdings, Inc. a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the operation and promotion of the Services, subject to our Privacy Policy. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe any third-party intellectual property rights.
13. Prohibited Conduct
You agree not to:
Use the Services for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
Misrepresent your identity, credentials, or health information to Avinity Health or any member of its clinical team;
Attempt to gain unauthorized access to any portion of the Digital Platform, user accounts, servers, or systems connected to the Services;
Use automated tools, bots, scrapers, or similar technologies to access, extract, or collect data from the Digital Platform without written authorization;
Interfere with or disrupt the operation of the Digital Platform or the servers or networks that support it;
Transmit any viruses, malware, or other harmful code through the Digital Platform;
Reproduce, distribute, or exploit any Content for commercial purposes without prior written consent;
Post or transmit any content that is defamatory, obscene, harassing, threatening, or otherwise objectionable;
Collect, store, or use personal information of other users without authorization; or
Engage in any conduct that could damage, disable, overburden, or impair the Digital Platform or interfere with any other party’s use and enjoyment of the Services.
Avinity Health reserves the right to investigate suspected violations of these prohibitions and to take any action it deems appropriate, including terminating access to the Services and cooperating with law enforcement authorities.
14. Third-Party Links and Services
The Digital Platform may contain links to third-party websites or services that are not owned or controlled by Avinity Health. These links are provided for your convenience and informational purposes only. Avinity Health does not endorse and is not responsible for the content, privacy practices, or terms of any third-party website or service. Your use of third-party websites and services is at your own risk and subject to the terms and privacy policies of those third parties.
Avinity Health may engage third-party service providers to assist in operating the Digital Platform or providing the Services, including analytics providers, payment processors, electronic health record systems, and appointment scheduling platforms. Where such third parties access or process your personal information or health information, Avinity Health requires them to maintain appropriate confidentiality and security measures consistent with applicable law.
15. Disclaimer of Warranties
THE SERVICES, INCLUDING THE DIGITAL PLATFORM AND ALL CONTENT, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AVINITY HEALTH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
AVINITY HEALTH DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE DIGITAL PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE, RELIABLE, OR MEET YOUR EXPECTATIONS.
SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE STATE LAW.
16. Indemnification
You agree to defend, indemnify, and hold harmless Avinity Health, Avinity Health Holdings, Inc., and their respective officers, directors, employees, medical directors, clinical staff, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any inaccurate or incomplete information you provided to Avinity Health.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AVINITY HEALTH CLINIC, LLC, AVINITY HEALTH HOLDINGS, INC., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, MEDICAL DIRECTORS, CLINICAL STAFF, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF AVINITY HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL AVINITY HEALTH'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO AVINITY HEALTH FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).
THE LIMITATIONS OF THIS SECTION APPLY REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, AND IN SUCH JURISDICTIONS OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Nothing in these Terms is intended to limit liability for claims arising from medical malpractice or professional negligence to the extent such limitation is prohibited by Arizona law. This limitation applies to the fullest extent permitted by applicable law.
18. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Services shall be governed by and construed in accordance with the laws of the State of Arizona, without giving effect to any conflict of law provisions. The Arizona Consumer Fraud Act (A.R.S. § 44-1521 et seq.) and other applicable Arizona consumer protection statutes may apply to your use of the Services.
Subject to the arbitration provisions of Section 19, you agree that any dispute not subject to arbitration shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You hereby consent to the personal jurisdiction of those courts and waive any objection to the of venue and personal jurisdiction in Maricopa County, Arizona.
19. Dispute Resolution
19.1 Informal Resolution. Before initiating any formal legal proceeding, you agree to contact Avinity Health at info@avinityhealth.com and attempt to resolve the dispute informally. Avinity Health will attempt to resolve the dispute within thirty (30) days of receiving written notice of the dispute.
19.2 Class Action Waiver. YOU AND AVINITY HEALTH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, no court may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
19.4 Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Additionally, any claims arising from professional negligence or medical malpractice may be subject to mandatory arbitration under Arizona law (A.R.S. § 12-567 et seq.) if applicable.
19.5 Time Limitation on Claims. To the extent permitted by applicable law, any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.
20. Electronic Communications and CAN-SPAM Compliance
By creating an account, scheduling an appointment, or providing your contact information, you consent to receive electronic communications from Avinity Health, including appointment confirmations, health-related updates, review requests, service-related messages, and, where you have opted in, promotional communications. All commercial email communications from Avinity Health comply with the Controlling the Assault of Non-Solicited Pornography And Marketing Act (CAN-SPAM Act) and will clearly identify the sender, provide a functional unsubscribe mechanism, and include our valid physical address.
You may opt out of promotional communications at any time. Transactional communications, including appointment confirmations, care-related messages, and service follow-ups, are necessary for the provision of Services and are not subject to marketing opt-out. To opt out of promotional communications, use the unsubscribe link in any promotional message or contact us at info@avinityhealth.com.
21. Accessibility
Avinity Health is committed to making our Digital Platform accessible to individuals with disabilities in compliance with the Americans with Disabilities Act (ADA) and applicable accessibility standards. If you experience difficulty accessing any portion of the Digital Platform, please contact us at info@avinityhealth.com or [TELEPHONE NUMBER] and we will make reasonable efforts to accommodate your needs.
22. Modifications to Terms
Avinity Health reserves the right to modify these Terms at any time at its sole discretion. When we make changes, we will update the "Effective Date" at the top of this document and, where changes are material, we will provide additional notice such as by posting a notice on the Digital Platform or sending an email to the address associated with your account.
Your continued use of the Services following any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services. We encourage you to review these Terms periodically.
23. General Provisions
23.1 Entire Agreement. These Terms, together with the Privacy Policy, Notice of Privacy Practices, Financial Policy, informed consent documents, patient agreements, and any other documents presented to and signed by you in connection with your onboarding or the provision of Services (collectively, the “Patient Documents”), constitute the entire agreement between you and Avinity Health with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings. In the event of a conflict between these Terms and any Patient Documents, the terms of the applicable Patient Document governing the specific service or issue shall control.
23.2 Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
23.3 Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by Avinity Health. No failure or delay by Avinity Health to exercise any right under these Terms shall operate as a waiver of such right.
23.4 Assignment. You may not assign these Terms or any rights or obligations hereunder without the prior written consent of Avinity Health. Avinity Health may assign these Terms without your consent in connection with a merger, acquisition, or sale of all or substantially all of its assets.
23.5 Force Majeure. Avinity Health shall not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure is due to circumstances beyond our reasonable control, including acts of God, pandemic, natural disaster, governmental action, cyberattack, or labor disputes.
23.6 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights and are solely for the benefit of you and Avinity Health.
